A clear boundary for both sides.

1. Agreement and provider

By creating an account, accepting an order form or completing Checkout, you agree to these Terms on behalf of the business you represent. You confirm that you are at least 18 years old and authorized to bind that business. “AletheionAGI,” “we” or “us” means AletheionAGI, registered under Brazilian CNPJ 55.641.006/0001-30, with its address at Rua Duarte Schutel, 61, apt. 1001, Centro, Florianópolis, Santa Catarina, Brazil.

If an order form expressly conflicts with these Terms, the order form controls for that order. The Privacy Policy, Refund Policy and Cancellation Policy form part of this agreement.

2. The service

AletheionAGI provides persistent memory ingestion, authorized evidence retrieval, grounding decisions, usage metering and related control-plane features. Capacity, storage, concurrency, support, environment and validity limits are those displayed at Checkout or agreed in writing.

Reader inference is always BYOK unless an order form expressly says otherwise. You choose and fund the reader provider account. AletheionAGI may securely invoke that provider using the credential you configure, but reader-token charges remain yours.

3. Accounts and authority boundaries

You are responsible for account accuracy, authorized memberships and every action taken with your credentials. Organization, project and environment authority are derived from the authenticated account or API key; requests may select only an authorized namespace. Never expose server API keys or reader credentials in browser code.

You must promptly revoke compromised credentials and notify security@aletheionagi.com. We may require stronger authentication or suspend access when needed to contain abuse or a credible security risk.

4. Customer data and instructions

You retain rights in the content you submit. You instruct us to process it solely to provide, secure, support and improve the contracted service. You warrant that you have a lawful basis and all required notices, permissions and authorizations before submitting personal data, confidential information or trusted memories.

You control namespace design, labels, end-user authorization and the facts your application designates as trusted. Do not convert unverified model output, another customer's data or unsupported chat statements into trusted memory.

5. Plans, credits and metering

Grounding capacity is prepaid. One finalized accepted, reduced, rejected or abstained grounding operation consumes one query credit. An internal service failure releases its reservation. A completed query ID cannot be replayed because the complete reader response is not retained for that purpose; the API returns a conflict without charging another unit.

Credits are non-transferable between organizations, have the validity shown at purchase and do not represent money, stored value or a security. Expired, refunded, disputed or revoked capacity is handled under the applicable lot and does not consume credits from an unrelated later purchase.

6. Payments, taxes and Stripe

Checkout and payment processing are provided by Stripe. Prices, currency, applicable taxes and payment timing are shown before confirmation. You authorize Stripe and its affiliates to process the payment information you provide under Stripe's own terms and privacy policy. AletheionAGI does not receive your complete card number or security code; it receives transaction and status data needed to fulfill and reconcile the purchase.

You are responsible for taxes, duties and bank or foreign-exchange charges not expressly included in the displayed total. Suspected fraud, a payment reversal or an unresolved dispute may pause the related capacity while the event is reconciled.

7. Renewals, cancellation and refunds

A one-time plan does not renew automatically. A recurring plan renews only when the Checkout or order form clearly identifies it as recurring and states its interval. You may cancel future renewal under the Cancellation Policy. Eligibility and calculation of refunds are governed by the Refund Policy and mandatory law.

8. Acceptable use

• Do not break the law, infringe rights, distribute malware, probe another tenant or bypass quotas and access controls.
• Do not use the service to make prohibited or unlawful decisions about a person.
• Do not resell access, reverse engineer protected components or benchmark the service for publication without written permission.
• Use appropriate human oversight for safety-critical, legal, medical, financial, employment or similarly high-impact contexts.

9. Security and confidentiality

Each party will use reasonable safeguards for confidential information and may disclose it only to personnel and providers who need it and are bound by appropriate duties. This obligation does not cover information that is public without breach, independently developed, lawfully received from another source or required to be disclosed by law.

10. Intellectual property

AletheionAGI and its licensors retain all rights in the platform, software, documentation, marks and aggregated service know-how. During the paid term, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purpose. Feedback may be used without restriction provided it does not disclose your confidential information or identify your end users.

11. Third-party services

Identity, hosting, payment and reader providers are separate services. Their availability, content and charges are governed by their terms. We are not responsible for a third-party outage or provider output, although we remain responsible for our own contractual duties and our selection and oversight of processors where applicable.

12. Availability, support and changes

Unless an order form includes a service level, the service is provided on a commercially reasonable-efforts basis and may be changed to improve security, compliance or functionality. We will not materially reduce paid core functionality during its purchased validity without a remedy required by law or the applicable order.

13. AI and grounding limitations

Grounding reduces specified failure modes; it does not guarantee universal correctness, completeness, fitness or absence of every disclosure. Evaluation results apply only to their documented conditions. You remain responsible for application behavior, reader selection, source quality and decisions made from outputs.

14. Suspension and termination

We may suspend access for a material breach, security threat, unlawful use, non-payment or payment reversal. When practical, we will give notice and an opportunity to cure. Either party may terminate for an uncured material breach. On termination, access ends and data is retained or deleted under the Privacy Policy, the applicable order and law.

15. Warranties and liability

To the extent permitted by law, the service is provided “as is” and implied warranties are excluded. Neither party is liable for indirect, special, incidental or consequential damages or lost profits. Each party's aggregate liability under an order is limited to amounts paid or payable for that order during the 12 months before the event giving rise to the claim.

These exclusions and limits do not apply where prohibited by law, including fraud, wilful misconduct, breach of confidentiality, infringement obligations, violation of data-protection duties or amounts that cannot legally be limited.

16. Indemnification

You will defend and indemnify AletheionAGI against third-party claims arising from unlawful customer data, your application, your breach of acceptable use or your lack of required rights. AletheionAGI will defend and indemnify you against a third-party claim that the unmodified paid service infringes intellectual property rights, subject to prompt notice and control of the defense.

17. Governing law and notices

Brazilian law governs these Terms, without excluding mandatory rights or jurisdiction that cannot legally be waived. Where a contractual venue is permitted, the courts of Florianópolis, Santa Catarina, Brazil have jurisdiction.

We may update these Terms prospectively. Material changes will be communicated through the service or registered contact before they take effect.
